The 1 Club Terms and Conditions (“Program Terms”) are subject to and made a part of the broader AG1 Terms and Conditions (the “AG1 Terms”) and apply to your access to and participation in The 1 Club (the “Program”). In the event of a conflict between these Program Terms and the AG1 Terms, these Program Terms will control with respect to the Program.
By participating in the Program, you agree and acknowledge that AG1 may process your personal information in connection with your participation in the Program in accordance with our Privacy Policy. The Program is operated by AG1 online through your AG1 membership portal, under the "Rewards" tab (the “AG1 Online Channels”). Except as described herein, these Program Terms do not alter in any way the broader AG1 Terms, or terms and conditions of any other agreement you (“Member,” “you,” or “your”) may have with AG1 for other products and services.
AG1 REWARD CREDITS HAVE NO CASH VALUE. AG1 Reward Credits (“Credits”) are promotional benefits only. Credits are not currency, gift cards, gift certificates, prepaid access, stored value, or property of any kind. Credits cannot be redeemed, exchanged, or refunded for cash or any cash equivalent, cannot be sold, purchased, transferred, assigned, gifted, or bartered, and may only be redeemed by the Member who earned them toward eligible purchases as described in Section 6 (Program Tier Benefits) below. No portion of any payment for purchases qualifying for Credits constitutes consideration paid for Credits. Credits do not give rise to any vested, proprietary, or contractual right to any underlying dollar value.
1. OVERVIEW OF THE PROGRAM
The Program is a loyalty program offered by AG1 USA Inc. and its affiliates (collectively, “AG1”, “we” or “our”) to eligible AG1 subscribers. The Program consists of different loyalty tiers (the “Program Tiers”) which Members qualify for through Qualifying Purchases (defined below). Each Program Tier offers benefits that are specific to Members who meet the qualification conditions applicable to the relevant Program Tier. Members may earn Credits based on such Qualifying Purchases and Program Tiers.
2. CHANGES AND MODIFICATIONS
AG1 may, at its discretion, alter, limit, or modify the Program Terms, benefits, eligibility for the Program and/or Program Tiers, or any other feature of the Program by posting such changes on the AG1 Online Channels. AG1 will provide at least thirty (30) days’ advance notice of any material change to the Program Terms, including changes to Credit earn rates, expiration periods, redemption terms, forfeiture conditions, or tier qualification thresholds, via the AG1 Online Channels and, where practicable, by email to the email address on file for each Member. During that 30-day notice period, Members may continue to earn and redeem Credits under the prior terms. For non-material changes, AG1 may, but is not required to, provide advance notice. AG1 may assign any of its obligations under these Program Terms to another person or entity upon reasonable notice to Members.
YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING THE EFFECTIVE DATE OF ANY POSTED CHANGES CONSTITUTES YOUR ACCEPTANCE OF THOSE CHANGES, PROVIDED THAT AG1 HAS GIVEN NOTICE IN ACCORDANCE WITH SECTION 2 ABOVE.
AG1 may also terminate the Program in its entirety at any time, at its discretion. If AG1 does so, AG1 will provide at least thirty (30) days’ notice of the termination via the AG1 Online Channels and by email to the email address on file for each Member, during which Members may redeem their existing Credit balances before they are voided. AG1 may, in its sole discretion, continue to permit redemption of remaining Credit balances for an additional period after that, but is under no obligation to do so.
Certain benefits may be available only on the AG1 website, through the Program portal, or on third-party platforms, as noted below. AG1 may, at its discretion, modify these benefits to make them available through additional channels, but it is under no obligation to do so and may choose not to expand the benefit beyond the initial availability.
3. ELIGIBILITY
To be eligible to participate in the Program, you must (a) be a current resident of and physically located in the United States; (b) be a natural person at least 18 years of age (or the age of majority in your state of residence, if older); (c) have an AG1 account; and (d) have and maintain an active AG1 subscription. The Program is available only to Members located in the United States; the Program is not currently offered to residents of Canada or other countries.
You may only have one Program account. The Program is intended for personal use only; commercial entities are not eligible to participate. Unless otherwise allowed by us, your Program account and associated benefits may not be assigned, transferred, or shared with family or friends, and your account and associated benefits are not intended for purchasing items for resale.
Employees of AG1 and its affiliates are not eligible to participate in the Program.
4. JOINING THE PROGRAM AND OPTING OUT
All eligible AG1 subscribers are automatically enrolled in the Program at no additional cost. Enrollment in the Program does not require any purchase, fee, or payment beyond the Member’s existing AG1 subscription.
New Members subscribing to AG1 acknowledge these Program Terms as part of the checkout process for their AG1 subscription. Members who are automatically enrolled in the Program based on an existing AG1 subscription (including Members migrated into the Program at launch) acknowledge these Program Terms at the point of Credit redemption (for example, by clicking “Redeem” or “Apply Credits”). A current, valid email address is required for you to participate in and receive benefits in connection with the Program. To notify AG1 of a change of email address, update your account information online by signing in to your profile and making the requisite changes in the AG1 Online Channels.
If you cancel your AG1 subscription or if your participation in the Program is otherwise terminated, you will no longer be able to earn new Credits or access new Program benefits. Upon cancellation or termination, AG1 will provide at least a thirty (30)-day redemption window during which you may redeem any then-existing, unexpired Credits toward eligible purchases. Any Credits not redeemed within that window, and all other pending benefits, will become void and forfeited without compensation of any kind. Members may also opt out of the Program at any time, without canceling their underlying AG1 subscription, by emailing privacy@drinkAG1.com. Upon opt-out, the same redemption window of at least thirty (30) days will apply, except where the request is, or is made in connection with, a request to delete your personal information under applicable privacy law, in which case AG1 will process the deletion in accordance with applicable law and its standard timeline, and any then-existing Credits will be deleted along with your other personal information as part of that process, without compensation of any kind.
5. PROGRAM TIER QUALIFICATION
Members qualify for Program Tiers based on the Tier Qualification Amount attributed to Qualifying Purchases during the Tier Qualification Period (as each term is defined below).
Program Tiers are reached at the following thresholds of Tier Qualification Amounts during the applicable Tier Qualification Period:
Tier 1: Green One: $0 to $299
Tier 2: Committed One: $300
Tier 3: Dedicated One: $600
Tier 4: One Lifer: $1,000 or more
AG1 may introduce additional Program Tiers or change qualifying criteria at its discretion, subject to the advance notice requirements in Section 2 above.
“Tier Qualification Period” means the rolling 12-month period anchored to the date on which a Member reaches a Program Tier. Once a Member reaches a Program Tier, that Program Tier is maintained for 12 months from the date it is reached. If the Member reaches a higher Program Tier during that 12-month period, a new 12-month period begins on the date the higher Program Tier is reached. At the end of the applicable 12-month period, AG1 will recalculate the Member’s Qualifying Purchases during the immediately preceding 12 months. The Member will maintain the current Program Tier if the recalculated Tier Qualification Amount meets the applicable threshold or will be placed in the Program Tier corresponding to the recalculated Tier Qualification Amount. Qualifying Purchases in excess of the amount needed to reach or maintain a Program Tier do not carry forward to the next Tier Qualification Period; each Tier Qualification Period is calculated solely on the Qualifying Purchases made within that period.
At Program launch, Members will be placed into Program Tiers based on their Qualifying Purchases during the trailing 12 months as of the Program launch date. This one-time lookback applies only at launch. A Member who reactivates a subscription after launch will start at Tier 1 with a Tier Qualification Amount of $0, regardless of purchase history before the subscription lapsed.
“Tier Qualification Amount” means the total dollar value spent, exclusive of any applicable excluded amounts, on Qualifying Purchases during the applicable Tier Qualification Period. The Tier Qualification Amount is based on the amount paid out-of-pocket after deductions, including coupons, credits, gift cards, promotional codes, or other discounts and excludes taxes, shipping charges, refunds, and chargebacks.
“Qualifying Purchase” means any eligible purchase made through the AG1 Online Channels while the Member holds an active AG1 subscription, including subscription orders and one-time purchases, but excluding the following categories of purchases and other charges: unauthorized or fraudulent purchases; purchases that violate the AG1 Terms or any other relevant terms; purchases through third-party retailers or marketplaces (including but not limited to Amazon); any discounts; gratis (free) items; sales tax; shipping and delivery charges and fees; unfilled backorders; refunded, returned, canceled, or charged back purchases and/or portions of a purchase; purchases made more than 12 months before the Program launch date; and/or other excluded charges specified by us from time to time. Merchandise or products purchased for resale or commercial use, as determined at AG1’s discretion, are also excluded. All other AG1 products and merchandise are eligible to be Qualifying Purchases, subject to the exclusions listed above and to the applicable Tier Qualification Period. For a new Member who has not yet reached a Program Tier, the initial Tier Qualification Period begins on the date of their first Qualifying Purchase. Except as otherwise set forth herein, a purchase made before the start of a Member’s applicable Tier Qualification Period is not counted toward that period even if made by the Member.
To make a Qualifying Purchase, you must be signed into your AG1 account when placing an order through the AG1 Online Channels. A Qualifying Purchase will only count toward a Member’s Tier Qualification Amount after verification by AG1. A Qualifying Purchase will count toward a Member’s Tier Qualification Amount, and any Credits earned in connection with that Qualifying Purchase will be reflected on The 1 Club landing page, after successful billing of the Qualifying Purchase. Delays may occur; please allow time for processing, and AG1 is not liable for delays in Credit or Tier Qualification Amount processing. If you return an item from a Qualifying Purchase, the dollar amount corresponding to the return will not be applied toward your Tier Qualification Amount and may be deducted from your Tier Qualification Amount.
6. PROGRAM TIER BENEFITS
Based on their Program Tier, Members are eligible for the following benefits, each of which is subject to exceptions as noted. AG1 may introduce additional Program benefits at any time, at its discretion, without advance notice; any such new benefits will be described on the AG1 Online Channels or in the Member’s Program account when made available.
Tier 1 - Green One
Tier 2 - Committed One
Members qualified for Tier 2 Committed One are eligible for all the benefits of Tier 1 Green One (excluding the Spend and Get Credit benefit for that tier) in addition to the following benefits.
Tier 3 - Dedicated One
Members qualified for Tier 3 Dedicated One are eligible for all the benefits of Tier 1 Green One and Tier 2 Committed One (excluding the Spend and Get Credit benefits for those tiers) in addition to the following benefits.
Tier 4 - One Lifer
Members qualified for Tier 4 One Lifer are eligible for all the benefits of Tier 1 Green One, Tier 2 Committed One, and Tier 3 Dedicated One (excluding the Spend and Get Credit benefits for those tiers) in addition to the following benefits.
Program Credits
Credits may be applied toward a future subscription billing cycle or toward eligible AG1 merchandise available in the Program portal (each, an “eligible purchase”). Credits do not apply automatically. Members must manually select and apply Credits, in increments made available by AG1 (for example, 1, 5, 10, 15, 20, or 25 Credits), before an upcoming subscription billing or at merchandise checkout. Partial Credit redemption is permitted in the increments AG1 makes available from time to time. A Member may redeem no more than 50 Credits during any single eligible purchase. By redeeming Credits, the Member agrees to these Program Terms. Each Credit is redeemable for up to $1 in value toward an eligible purchase; however, Credits have no cash value and the redemption value is a promotional discount, not a monetary entitlement.
Credits expire twelve (12) months after the date on which they are earned, unless a different expiration date is stated when the Credit is issued. Credits not applied before expiration are automatically forfeited without compensation of any kind. Members can view their current Credit balance, expiration dates, and redemption history under “View Account Activity & Credit Expiration” in The 1 Club hub.
CREDITS HAVE NO CASH VALUE. Credits are not currency, gift cards, gift certificates, prepaid access, or stored value of any kind. Credits are not purchased or pre-funded by the Member, do not represent a specific dollar amount owed to the Member, and cannot be redeemed, exchanged, or refunded for cash or any cash equivalent. Credits are nontransferable and personal to the Member who earned them. Credits cannot be sold, purchased, gifted, auctioned, bartered, brokered, transferred, or assigned, and may not be used for any commercial purpose. AG1 may confiscate or cancel any Credits obtained, transferred, or redeemed in violation of these Program Terms, without liability to AG1. Once redeemed, Credits are final. AG1 does not provide refunds, returns, or exchanges of Credits, cash, or other goods or services in connection with redeemed Credits, even if the purchase toward which Credits were applied is later returned, refunded, or canceled by the Member. If AG1 determines that a Member was not issued Credits to which the Member was properly entitled under these Program Terms, the Member’s sole and exclusive remedy is to receive the corresponding Credits; AG1 will not provide cash, cash equivalents, or other compensation in lieu of Credits. Credits may be combined with other promotional discounts or codes, unless the terms of that other discount or code expressly prohibit it from being combined with other offers or discounts. A Member must hold an active AG1 subscription at the time of redemption.
In addition to Credits earned under the Program Tier structure above, AG1 may, at its discretion, issue promotional, welcome, or bonus Credits in connection with specific offers, campaigns, or activities (for example, a new-subscriber offer or a seasonal promotion), including to only a subset of Members as part of testing or piloting a particular offer. The amount, eligibility, redemption terms, and expiration date of any such Credits will be determined by AG1 and communicated with the applicable offer, and remain subject to these Program Terms (including the no-cash-value and non-transferability provisions above) except as otherwise expressly stated for that offer.
Earn rates, thresholds, caps, and offer structures may vary among Members or groups of Members. Two Members may receive different offers at the same time. The offer details displayed in a Member’s Program account apply to that Member. AG1 may test, adjust, or discontinue specific offer structures at any time, without notice, provided that Credits already earned by a Member under an offer will not be reduced or revoked as a result.
Partner Offers
Subject to availability and Program Tiers, Members may receive access to special offers and experiences from third-party partners. This benefit may require Members to agree to third-party terms and conditions and privacy policies. Participating partners and specific partner offers are subject to change by AG1 at its discretion. AG1 does not guarantee any minimum number of partner offers or continuity of any specific partnership. AG1 is not responsible for the fulfillment, quality, or availability of partner benefits. Partner offers are nontransferable and for the individual Member’s personal use only.
Refer a Friend
AG1’s ongoing Refer-a-Friend program remains available to Members and is governed by the AG1 Terms and the separate AG1 Refer-a-Friend Program Terms & Conditions set forth therein; participation in the Program does not modify, replace, or enhance the terms of that referral program.
7. PROGRAM COMMUNICATIONS
We send Program-related communications subject to our Terms of Use and Privacy Policy, which include details on different communication types and how to opt out of certain AG1 communications. Acceptance of these Program Terms does not constitute consent to receive marketing communications.
8. PROGRAM ADMINISTRATION AND MISCELLANEOUS
Without notice to you, other than as required by applicable law, we reserve the right to exclude individuals from the Program, exclude purchases from Qualifying Purchases, upgrade, downgrade, or maintain a Member’s Program Tier, and/or deny Program benefits at our discretion. In particular, any abuse, manipulation, or “gaming” of the Program or the Program Terms, as determined by AG1 in its discretion, including setting up multiple accounts; failure to follow the Program Terms, including the eligibility requirements; reselling exclusive or early access products or items that would otherwise qualify as Qualifying Purchases; self-referrals; fraudulent referral activity; or any misrepresentation or any conduct detrimental to the interests of AG1 not otherwise protected by law, may subject the Member to termination of the Member’s account or downgrade of the Member’s Program Tier and will affect eligibility for further participation in the Program.
We may, at our discretion, suspend, cancel, or combine accounts that appear to be duplicative. AG1 may use a third-party provider to administer the Program, monitor purchases, and identify activities that violate the Program Terms or AG1 policy. AG1 may use this data to help it make decisions regarding participation in the Program, awarding Program Tier, and offering benefits. Membership is nontransferable, Qualifying Purchases may only be made by the Member, and benefits redeemed only by the Member, unless otherwise expressly permitted by AG1. If your participation in the Program is revoked or otherwise canceled or your Program Tier is downgraded, any related benefits will automatically cease. Your participation in the Program is voluntary, and you may withdraw at any time.
AG1 is not responsible for any technical malfunction or other problem with any network, server, online system, or equipment used to operate or access the Program, including any resulting error in calculating Qualifying Purchases, Tier Qualification Amounts, or Credits, or any unavailability of Program benefits. If the Program is not capable of running as intended for any reason, including infection by computer virus, technical failure, or unauthorized intervention, AG1 may cancel, modify, or suspend the Program or any part of it.
AG1’s determinations regarding a Member’s eligibility, Program Tier, Qualifying Purchases, Credits, or any other question or dispute arising under these Program Terms are final. Nothing in these Program Terms limits any other legal or equitable right or remedy AG1 may have.
If any provision of these Program Terms is held to be unlawful, void, or otherwise unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
The use of the word “include,” “includes,” or “including” is illustrative and not limiting.
You are responsible and liable for any applicable federal, state, and local income, sales, use, or other taxes which may result from your participation in the Program.
The Program Terms constitute the entire agreement between the Member and AG1 regarding the Program and supersede any prior written or oral terms related thereto.
9. DISPUTE RESOLUTION (INCLUDING ARBITRATION AGREEMENT, CLASS ACTION WAIVER, JURY TRIAL WAIVER, GOVERNING LAW, AND VENUE)
Disputes arising out of or relating to the Program, these Program Terms, or a Member’s participation in the Program are “Disputes” under, and are governed by, the Agreement to Arbitrate set out in AG1’s general Terms and Conditions (the “Agreement to Arbitrate”), including its requirement to resolve Disputes through confidential, individual, binding arbitration; its waiver of the right to a jury trial and to participate in a class, collective, or representative action or proceeding; its mass-arbitration batching procedures; and a Member’s right to opt out of the Agreement to Arbitrate as described there.
As summarized from the Agreement to Arbitrate: before starting arbitration, a party must send a Notice of Dispute to the other party. Notice to AG1 is sent by U.S. mail to AG1 USA Inc., 3064 Silver Sage Dr., Suite 150, Carson City, NV 89701, Attn: General Counsel, or by email to legal@drinkag1.com, and the parties then have 30 days to attempt informal resolution before arbitration may be commenced. Arbitration is administered by JAMS under its rules and procedures then in effect. Any Dispute must be brought within one (1) year after it arises, or it will be barred, except where prohibited by law (including in New Jersey).
These Program Terms, and any Dispute not subject to arbitration, are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any controversy excluded from the arbitration and class action waiver provisions (other than an individual action in small claims court) may be filed only in the state and federal courts located in New York City, New York, and each party consents to the exclusive jurisdiction of those courts for any such controversy.
10. LIMITATIONS ON LIABILITY
To the fullest extent permitted by applicable law (except where otherwise inapplicable or prohibited by law, including in the State of New Jersey), AG1 will not be liable to a Member for any indirect, special, incidental, or consequential damages arising out of or relating to the Program, including loss of use, loss of profits, or loss of data, regardless of the theory of liability. In no event will AG1’s total liability to a Member for all damages, losses, and causes of action relating to the Program exceed the amount the Member has paid to AG1 in the six (6) months preceding the claim, or, if greater, one hundred dollars ($100), except that, with respect to Credits specifically, the Member’s sole and exclusive remedy remains as set out in Section 6 above.
Because some jurisdictions (including New Jersey) do not allow the exclusion or limitation of liability for incidental or consequential damages, the foregoing limitations may not apply to, or be enforceable against, a Member from those jurisdictions, and this Section is intended to be only as broad as permitted under the laws of the Member’s jurisdiction.
Any Dispute a Member may have relating to the Program is also subject to the 1-year contractual limitation described in Section 9 above.
11. Notice of Financial Incentive; Bona Fide Loyalty Program
Under applicable state privacy laws, including those in California and Colorado, loyalty programs such as The 1 Club may be considered a “financial incentive” or “bona fide loyalty program.” For more information, including relevant disclosures, please refer to the “Notice of Financial Incentive; Bona Fide Loyalty Program” section of our Privacy Policy.
